Position Details Title: Senior Law Clerk Location: Hybrid 3 days in office weekly - Toronto Duration: 7-Month Contract (With high possibility of extensions and conversion) SUMMARY OF THE ROLE: Support the Enterprise Board Governance team in delivering board and committee governance, corporate secretarial, legal, and regulatory compliance activities. The candidate would be responsible for supporting legal, regulatory, and compliance-related activities by carrying out assignments and initiatives under the direction of the team’s legal counsel. Role Responsibilities: · Conduct legal and corporate governance research. · Prepare and submit regulatory filings and required disclosures. · Support director compensation administration processes. · Assist with shareholder services and related activities. · Monitor and track corporate compliance requirements. · Maintain and update governance records and documentation. · Support audit inquiries and regulatory information requests. · Assist in planning, coordinating, and executing board meetings. · Contribute to process improvement and governance enhancement initiatives. · Prepare governance reports and related reporting materials. · Participate in special projects within a fast-paced corporate governance environment. Requirements
Requires approximately five or more years of legal experience and public company operations experience, plus registration or certification as an ILCO law clerk, LSO paralegal, or LSO lawyer. Candidates should have strong analytical, problem-solving, decision-making, and communication skills; banking or financial institution experience and securities disclosure experience are preferred.
