Job Summary
MLT Aikins is looking for a strong, experienced Corporate Paralegal to join our team and work with our growing client base. The ideal candidate will have good practical training, experience from a busy corporate practice at a business law firm and will have graduated from a recognized legal assistant or paralegal training course (equivalencies will be considered).
Candidates must be able to multi-task and prioritize their workload, pay attention to detail and have excellent organizational, communication and written skills. This is a client-based environment and the corporate department works directly with lawyers on transactions across the firm. The candidate must be able to take instructions, understand corporate transactions and work independently to provide draft documentation.
Responsibilities include:
- Attending to online filings with Companies Office Online and Corporations Canada
- Attending to or arranging for filings with Corporate Registries across Canada
- Drafting and filing legal documents for basic and complex corporate transactions including incorporations/organizations, amendments, dissolutions, revivals, reorganizations, amalgamations, continuances, extra-provincial registrations, partnerships, trade names, change filings and other transaction-related documents
- Conducting minute book reviews and preparing documents to correct minute book deficiencies
- Conducting and reviewing corporate searches
- Responding to daily inquiries from lawyers and clients; handling day-to-day corporate matters
- Updating and maintaining corporate records and ensuring documents comply with the applicable legislation and are entered into the corporate database
Qualifications include:
- Graduate of a recognized legal assistant/paralegal diploma or equivalent
- Minimum of 8-10 years of experience in a corporate paralegal role
- Strong working knowledge and understanding of Manitoba and federal corporate legislation
- Solid knowledge of drafting transactional documents
- Ability to work in a fast-past environment
- A team player who is willing to mentor juniors
- A willingness to collaborate with others on the team
- Proficient in Emergent (or another corporate database)
- Must be analytical and possess the ability to apply concepts
