Job Description

Purolator is currently hiring a senior corporate/commercial law clerk to manage corporate governance for multiple legal entities including:

  • board, committee and shareholders meetings
  • Maintain corporate records
  • Licenses and registrations in Canada and the US
  • Administer the employee share ownership plan
  • Manage the legal department’s organizational systems and budget.

Responsibilities will include:

  • Preparing for and managing board and committee meetings,
  • Drafting resolutions
  • Taking minutes and managing undertakings
  • Maintaining corporate records
  • Administering employee share ownership plan
  • Managing business registrations
  • Developing and maintaining various organizational systems including document management and tracking legal spend


  • The ideal candidate will have at least 10 years of relevant experience with both a law firm and in-house legal department as well as previous experience supporting senior executives and board members.
  • Must have relevant education for a Law Clerk designation
  • She/he must be able to work independently as well as collaboratively with legal staff, board members, senior executives and with external counsel. ]
  • The ability to exercise good judgment, be flexible and execute under pressure with careful attention to detail are essential.
  • She/he must have strong written and verbal communication skills as well as a positive attitude and poise.
  • Administrative and organizational skills to effectively manage multiple priorities and to handle a wide variety of activities and confidential matters with discretion is required.
  • The successful candidate will be a take charge individual with a confident can-do attitude to drive continuous improvement and efficiencies.
  • Prior experience with Lean/6-Sigma methodologies would be an asset
  • Proficiency with Microsoft Office a must.
