Lune Rouge is currently seeking a corporate paralegal who, under the supervision of the Head of Legal Affairs, will assume the following responsibilities:

Corporate affairs

  • Incorporate affiliates and make out-of-province registrations;
  • Update books and records;
  • Draft annual reports and declarations;
  • Participate in the follow-up of the agendas of board and committee meetings;
  • Assist in the preparation of board and committee meetings;
  • Provide support to business units to complete various forms;
  • Provide support to the legal team in carrying out various mandates.

Transactions and operations

  • Assist the legal team in the execution of transactions, such as the closing of private placements, acquisition or financing;
  • Draft resolutions and corporate documents related to various transactions of corporations and trusts, including organizational documents, mergers, liquidation and dissolution;
  • Conduct research on the Enterprise Registrar, Corporations Canada and various government registries;
  • Conduct corporate review of minutes of proceeding and produce audit reports.

Internal organization

  • Participate in the standardization of legal documents and the establishment of a bank of corporate precedents;
  • Update the document management system;
  • Update the various corporate monitoring tools;
  • Perform the translation of various corporate and contractual documents.

Profile required

  • Good writing skills;
  • Ability to understand, discern and analyze critical issues;
  • Ability to set priorities and ability to work with tight deadlines;
  • Organized, proactive and rigorous;
  • Great ability to work in a team and under pressure.

Job requirements

  • DEC in paralegal services or relevant experience;
  • Minimum of 5 years of experience as a paralegal in a law firm;
  • Knowledge of the Canada Business Corporations Act, the Business Corporations Act (Quebec), the Act respecting the legal publicity of enterprises and trusts governed by the Civil Code of Québec;
  • Experience in corporate law;
  • Proficiency in French and English, both oral and written;
  • Excellent knowledge of the Microsoft Office suite.
