Description

Under the authority of the Director, Legal Affairs, Specialized Loans and Investments, perform various legal work, including providing support in drafting, reviewing and validating documents.

Main responsibilities:

  • Draft, revise and validate the contractual instruments necessary for the implementation of the Company's interventions (under the supervision of its immediate superiors) for major accounts departments, venture capital, investment funds, specialized financing, special claims and Ressources Québec, including:
  • ensure the compliance of the legal documentation sent externally (letter of offer of guarantee, loan, letter of amendment, etc.), all within the framework of files of financing and investment;
  • verify compliance with the specific conditions of the program applicable to the financial intervention chosen;
  • verify the legality of the company to which the Company provides financial assistance, in particular by consulting the appropriate registers;
  • ensure that the required security interests are complied with and, in cases where the Corporation acts as a lender, perform the checks in the Register of Personal and Movable Real Rights and the Land Registry to ensure that what is required by Title of the security interests is consistent with reality;
  • mainly in connection with the taking of securities, check the legal documentation submitted by the external attorneys of the company;
  • check all legal documents related to the various financial intervention files, including loan agreements, letters of financing, corporate statutes, etc., all in the context of funding and equity files.

Prepare all legal documentation in the context of the activities of the General Secretariat and the Committees of the Society.

To answer the legal and technical questions that are addressed to him daily by the personnel of all the directions for which he works and to consult the lawyer in charge if necessary.

Conduct jurisprudential, doctrinal and legislative research at the request and for the benefit of the lawyers of the Society and the General Secretariat; seize and update security data related to funding files in SYGIC.

Participate in the establishment of the database of the common directory of jurists including incorporating judgments involving the Company and, for this purpose, analyze these judgments, summarize them and highlight the impact that these decisions could have on the Company.

Attend and participate in the meetings of the lawyers of the legal service of the Company in order to be informed of the decisions taken by the legal service concerning in particular the development and the modifications made to the contractual instruments of the Company, the improvement of the procedures, the standardization working methods, all in order to comply with the Company's guidelines and to carry out any specific mandate that may be entrusted to it at these meetings.

Draft and revise various legal documents as part of the Corporation's financial interventions (including, mortgage notice, release, release, notice of default, mortgage retention notice, share buyback agreement, etc.).

Perform any other related tasks.

Specific qualifications required:

  • Diploma of Collegial Studies in Legal Techniques.
  • Minimum of three (3) years of experience in corporate, commercial and corporate finance.
