What we are looking for:

Under the supervision of the Vice President, Legal Affairs, the individual will be responsible for providing legal and administrative support to the Legal Department.

Your responsibilities:

  • Maintaining the records and minute books of various corporate entities and drafting corporate resolutions, meeting minutes, board documentation and other meeting materials and legal correspondence;
  • Coordinating the incorporation / registration of new legal entities;
  • Supporting corporate transactions, including the preparation of corporate documents and closing books;
  • Supporting the Finance, Human Resources and Tax departments in connection with various corporate actions, including compensation plan transactions, normal course issuer bids, dividend reinvestment plans and corporate transactions/ reorganizations;
  • Participating in the preparation and coordination of the annual meeting of shareholders, including liaising with transfer agents;
  • Participating in the preparation of disclosure documents (i.e. Annual Information Form and Management Information Circular); and
  • Participating in the preparation and management of corporate and securities filings in Canadian jurisdictions (such as annual filings, extra-provincial filings, insider reports, material change reports, early warning reports and regulatory filings with the TSX and the relevant securities commissions in order to ensure compliance with continuous disclosure requirements).

Must have requirements to be successful in this role:

  • Certificate of legal technician and a minimum of 3-5 years of relevant work experience.
  • Advanced computer skills with all Microsoft Office applications, such as: Word, Excel, PowerPoint, and Outlook;
  • Practical experience in managing corporate and securities filings (SEDAR, SEDI, TSX SecureFile) is considered an asset.
  • Self-motivated; able to work both independently to complete tasks and respond to department requests and with others to utilize their resources and knowledge to identify quality solutions (i.e. resourceful).
  • Strong organization and planning skills and ability to prioritize tasks effectively.
  • Advanced English and Bilingualism (French) is considered an asset.
  • Experience in a large law firm and/or with a reporting issuer is considered an asset.
