Duties and responsibilities

  • Provide support to the legal department on all corporate and ship registry matters;
  • Ensure all proper corporate filings are done for CSL Group Inc. and its subsidiaries in the various jurisdictions (such as annual declarations and Calura filings) and that such governance procedures implemented by CSL Group Inc. are complied with;
  • Draft resolutions and ensure all necessary corporate documents are prepared for various transactions (such as the issuance of shares, and dividends);
  • Assist in the preparation of board of directors meetings, including annual general meetings of CSL Group Inc. and its subsidiaries in the various jurisdictions;
  • Assist in maintenance of minute books and share register for companies in Canada and assist in ensuring that minute books and share registers in foreign jurisdictions are properly maintained;
  • Provide support to the Tax Department by preparing corporate documents required to effectuate various inter-company financings, restructurings, reorganizations and other various transactions;
  • Support the lawyers by preparing first drafts of various agreements to implement transactions, inter-company loans, promissory notes, confidentiality agreements, consulting agreement, and various other template agreements;
  • Liaise, when required, with ship registries and prepare and coordinate all documentation and requirements to register/de-register vessels (attend to the Registrar of Shipping), change of name, change of vessel name, port;
  • Keep current with changes to corporate statutes and regulations;
  • Perform other duties, as necessary.

Qualification and skills

  • Diploma of Collegial Studies in Paralegal Technology or equivalent;
  • High degree of proficiency in MS Office programs including Word, PowerPoint and Excel;
  • 10 to 15 years experience as a Paralegal;
  • Excellent interpersonal and communication skills in both English and French (written and oral);
  • High level of professionalism and ability to handle sensitive and confidential information;
  • Ability to manage different priorities simultaneously;
  • In-depth knowledge of legal concepts and terminology;
  • Organized and strong attention to detail;
  • Ability to work independently and in a team environment;
  • Knowledge of corporate statues and regulations;
  • Strong customer service orientation;
  • Demonstrated project management skills with the ability to prioritize, manage and execute multiple tasks;
  • Ability to adapt to different cultural environments;
  • Strong team player and collaborator and capable of working autonomously and interacting with colleagues globally.
