What we are looking for:

Under the supervision of the Vice President, Legal Affairs, the individual will be responsible for leading a team of paralegals and providing legal and administrative support to the legal department.

Your responsibilities:

  • Overseeing a team of paralegals and assisting with assigning projects, organizing and prioritizing tasks to ensure the timely completion of projects and department milestones;
  • Assisting in personnel decisions, such as hiring, termination, salary, reviews, and promotions as they relate to subordinate paralegals;
  • Scheduling, preparing and attending monthly paralegal meetings; training new and existing subordinate paralegals on department practices and procedures;
  • Participating in the management of corporate and securities filings in Canadian jurisdictions (such as annual filings, extra-provincial filings, insider reports, material change reports, early warning reports and regulatory filings with the TSX and the relevant securities commissions in order to ensure compliance with continuous disclosure requirements);
  • Participating in the preparation of disclosure documents (i.e. Annual Information Form and Management Information Circular);
  • Supporting the coordination of the various aspects of the annual meeting of shareholders, including liaising with transfer agents;
  • Keeping records and minute books of the company and its affiliates and drafting corporate resolutions, meeting minutes, board documentation and other meeting materials and legal documents;
  • Coordinating the incorporation / registration of new legal entities;
  • Supporting the Finance, Human Resources and Tax departments to organize and complete various corporate actions, including compensation plan transactions, normal course issuer bids, dividend reinvestment plans and corporate transactions/ reorganizations and;
  • Responding to various inquiries from the Compliance, Finance, Human Resources, Investor Relations, Tax departments and other corporate divisions and external shareholders on an on-going basis.

Must have requirements to be successful in this role:

  • Certificate of legal technician and a minimum of 7-10 years of relevant work experience.
  • Strong leadership and interpersonal skills; ability to drive and motivate team members to achieve results.
  • Self-motivated; able to work both independently to complete tasks and respond to department requests and with others to utilize their resources and knowledge to identify quality solutions (i.e. resourceful).
  • Strong organization, planning and project management skills; ability to prioritize tasks for self and team to meet requirements and deadlines.
  • Ability to work in a time-sensitive, high volume environment and to quickly adapt work priorities to deal with unforeseen urgencies.
  • Practical experience in managing corporate and securities filings (SEDAR, SEDI, TSX SecureFile).
  • Advanced computer skills with all Microsoft Office applications, such as: Word, Excel, PowerPoint, and Outlook.
  • Advanced English and Bilingualism (French) is considered an asset.
  • Experience in a large law firm and with a reporting issuer is considered an asset.
