How you make an impact We are looking for a Real Estate & Corporate Paralegal with 5 to 10 years of relevant experience. In this role, you will support commercial real estate projects and oversee matters involving our Canadian corporate entities. The ideal candidate is proactive, solutions-oriented, able to meet tight deadlines, and committed to maintaining high professional standards in both French and English. What you’ll do: Real Estate Work with the Associate General Counsel to manage legal matters related to the Canadian real estate portfolio and coordinate with relevant authorities. Prepare and review real estate transactions and lease documentation, including deeds of sale, leases, amendments and easements. Coordinate commercial real estate closings. Conduct and assess title searches to identify existing charges, servitudes/easements, hypothecs or restrictive covenants. Review municipal bylaws, zoning regulations and assess municipal requirements. Review site inspections and due diligence reports, and work with surveyors, title insurers, landlords, and sellers to address any deficiencies. Monitor time-sensitive milestones including options to renew windows, right of first refusal deadlines, early termination options, etc.). Corporate Law Draft corporate resolutions, articles of amendment, share provisions, and closing documents for corporate reorganizations. Prepare and file government reports and corporate documents, including federal, provincial and extra-provincial filings, incorporations, registrations, amendments, resolutions, and annual reports. Incorporate, organize, amalgamate, and dissolve corporations under Quebec and federal Canadian law. Manage corporate deadlines and maintain corporate records. Conduct searches in corporate registries and public databases, including the REQ, RDPRM, Bank Act, Office of the Superintendent of Bankruptcy, and CIPO, and prepare due diligence reviews and summary reports for acquisition files. Qualifications we look for Experience: 5 to 10 years of experience as a paralegal, handling both commercial real estate and corporate law within Quebec. Education: Diploma of College Studies (DEC) in Paralegal Technology, or any other combination of relevant education and experience. Language Skills: Bilingualism (written and spoken) in French and English. Technical Proficiency: Advanced knowledge of Microsoft Office (including Excel, Word and Power Point), Quebec Land Register, of corporate registries and various public databases (such as REQ, RDPRM, Bank Act, Office of the Superintendent of Bankruptcy, CIPO) and of corporate management databases.
