About the role
Role: Corporate Attorney (Remote) Location: Remote (Work from Anywhere) Job Type: Contract Payout: $90 - $130/hour
Role Overview: The M&A Attorney will be responsible for reviewing and negotiating transaction agreements, conducting due diligence for mergers and acquisitions, and ensuring compliance with regulatory requirements. The role involves collaborating with cross-functional teams to support deal execution and post-merger integration.
Key Responsibilities: • Draft, review, and negotiate definitive agreements and ancillary transaction documents • Conduct legal due diligence for mergers, acquisitions, and divestitures • Advise on corporate governance, compliance, and regulatory matters • Coordinate with internal stakeholders to align legal strategy with business objectives • Provide guidance on transaction structure, risk allocation, and deal terms
Required Skills & Qualifications: • Admitted to practice law in at least one U.S. jurisdiction with M&A experience • Experience drafting and negotiating M&A agreements, including SPAs and asset purchase agreements • Knowledge of securities laws, corporate governance, and regulatory compliance • Strong analytical and problem-solving skills with attention to detail • Ability to work independently and manage multiple priorities in a fast-paced environment
