Role Description The Corporate Law Clerk will support the firm’s business law practice by preparing and managing a variety of corporate legal documents, including incorporations, amendments, reorganizations, minute book updates, and corporate filings. This full-time, on-site role in Toronto, ON involves assisting lawyers with due diligence, transactional closings, corporate searches, and regulatory compliance. Day-to-day responsibilities include drafting and reviewing documentation, maintaining accurate corporate records, managing filing deadlines, and liaising with clients, government offices, and third-party service providers. The Corporate Law Clerk will also conduct legal and corporate research, help prepare closing binders and summaries, and contribute to process improvements that enhance efficiency and client service. Qualifications Strong foundation in corporate and business law, with experience in corporate procedures, entity formations, and transactional support. Proficiency in legal document preparation, including drafting, reviewing, and organizing corporate records, resolutions, and filings. Excellent written and verbal communication skills, with the ability to explain legal information in clear, plain language. Solid research and writing skills, including the ability to conduct corporate and regulatory searches and summarize findings accurately. Completion of a Law Clerk or Paralegal diploma/certificate, or equivalent combination of education and experience. Prior experience as a corporate law clerk or in a similar corporate legal support role, preferably in a business law firm environment. High attention to detail, strong organizational skills, and the ability to manage multiple deadlines in a fast-paced setting. Proficiency with corporate records management software, MS Office, and electronic filing systems; familiarity with Ontario and federal corporate registries is an asset. Demonstrated client service mindset, professionalism, and the ability to work collaboratively within a close-knit team.
