Position Summary Stella-Jones is seeking a Senior Legal Counsel or Director, Legal Affairs to join our team and directly contribute to the company's ongoing growth. Reporting to the General Counsel, Corporate Affairs, this role offers a rare combination of breadth, proximity to decision-making, and meaningful ownership of a diverse legal portfolio. The successful candidate will work closely with the General Counsel across the full spectrum of legal matters that come with operating a publicly listed, North American company, from complex transactions and corporate governance to commercial matters and beyond. Principal Responsibilities: Provide timely legal support to business units on day-to-day legal matters, including employment, sustainability, sales, supply chain, real estate, intellectual property, environmental, privacy, cybersecurity and regulatory compliance, while proactively identifying areas of legal risk or concern across the business Support the management of Stella-Jones' disclosure obligations, including the preparation, review, and filing of continuous disclosure documents (e.g., MD&A, proxy circular, AIF, press releases) in compliance with applicable securities laws and TSX requirements. Support the corporate secretariat function and advise on corporate governance matters Assist with complex corporate transactions, including M&A and corporate reorganizations Draft, review, and negotiate a wide range of commercial agreements Support the development, implementation, and updating of internal legal policies, templates, and standard form agreements Monitor legal, regulatory, and legislative developments relevant to the Company's business and industry, and assess their impact on operations and compliance obligations. Contribute to the design and implementation of technology-enabled solutions, process improvements and cost-optimization initiatives that increase efficiency and scalability of legal services. Oversee the legal aspects of digital transformation, data governance and AI Reasonable accommodation may be made to enable individuals with disabilities to perform the essential functions of this position. Qualifications: Education: Bachelor of Law degree from a Canadian University with the ability to practice in Quebec Experience: 3-7 years of professional legal experience acquired in a law firm or large organization License/Certification: Quebec Bar Experience in securities law is considered an asset. Proven ability to handle complex commercial legal issues including drafting, reviewing, and negotiating agreements. Ability to anticipate and address legal and risk considerations. Project management skills and an ability to prioritize competing objectives. A demonstrated track record of excellence. Excellent verbal and written communication and presentation skills. Bilingualism (French and English) is required. Experienced working in a dynamic, fast-paced environment. A collaborative team player with strong interpersonal skills and high social intelligence. Available to work at least 3 days per week at the head office in Ville Saint-Laurent.
