Our client is a leading institutional investor with operations spanning Canada and international markets. To support the continued growth of its business and the evolution of its corporate structure, the organization is seeking a Corporate Paralegal to join its Legal Affairs team.
This opportunity is ideal for a professional looking to grow within an in-house legal department, where they will contribute to both the corporate governance of Canadian and international subsidiaries and the legal support of strategic transactions. The role offers close collaboration with investment, tax, accounting and legal professionals across the organization.
The Role
As a Corporate Paralegal, you will divide your time between supporting the corporate governance of the organization’s subsidiaries and assisting with transactional matters.
Working closely with lawyers, fellow paralegals and various business partners, you will help maintain the corporate records of subsidiaries, ensure corporate compliance and provide legal support for investments and strategic transactions.
Responsibilities
Maintain the corporate records of Canadian and international subsidiaries Prepare, review and organize corporate documentation Maintain corporate minute books and ensure corporate compliance Coordinate corporate formalities with external law firms and various stakeholders Support subsidiary governance and delegated authority processes Ensure the proper filing, maintenance and integrity of corporate records Conduct corporate and legal research Support lawyers and senior paralegals in connection with transactions, financings and other strategic initiatives Collaborate with the Tax, Accounting, Investment and Legal Affairs teams Contribute to the continuous improvement of the team’s processes and tools
Requirements
Diploma in Paralegal Technology or equivalent education Approximately 5 years of relevant paralegal experience Corporate law experience is essential Transactional experience is considered a significant asset Experience supporting Canadian or international subsidiaries is an asset Strong proficiency with the Microsoft Office Suite Knowledge of Visio, Power BI or Englobe is considered an asset Excellent organizational and time-management skills Ability to coordinate multiple stakeholders simultaneously Self-motivated, proactive and able to exercise sound professional judgment Collaborative mindset and strong team orientation Excellent written and spoken French and English
