About the role

The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development.

The OSC is currently recruiting for Student-At-Law positions to work in a variety of its portfolios from August 2027 to June 2028. Student-At-Law opportunities are available in the following Portfolios/Divisions:

Investment Management Enforcement Governance & Tribunal Secretariat Trading and Markets

Investment Management The Investment Management Division oversees the regulation of investment funds that offer securities to the public in Ontario, as well as exemptive relief and policy development relating to portfolio advisers registered in Ontario. Our function in the OSC’s mandate of providing investors protection is a vital one. We have a leadership role in developing new rules and policies within both the OSC and the Canadian Securities Administrators (CSA) to adapt to the changing environment in the investment fund industry. In addition to developing new rules and policies, our scope of activity includes: reviewing and considering investor protection issues related to the offering of investment products (including mutual funds, exchange traded funds, scholarship plans and labour sponsored funds); assessing product disclosure, including prospectus and continuous disclosure filings; considering applications for discretionary exemptive relief from Ontario securities legislation and rules; and monitoring the Canadian investment fund industry using risk and data analytics.

The Student-at-Law will assist with tasks including: providing research and drafting support for policy work; under supervision, reviewing and processing applications for discretionary exemptive relief from securities legislation and rules; assisting with the review and assessment of product disclosure of investment funds, including prospectuses and continuous disclosure filings; and responding to public inquiries on investment management-related issues.

Enforcement The Enforcement division supports the OSC in delivering fair, vigorous and timely enforcement. The Enforcement division investigates and litigates breaches of securities laws in Ontario as administrative or quasi criminal matters. Staff also investigates Criminal Code violations in cooperation with law enforcement. Staff works closely with other securities regulators, self-regulatory organizations and law-enforcement agencies to enhance initiatives to fight misconduct. A strong enforcement presence assists in protecting investors from unfair, improper or fraudulent practices and fostering fair and efficient markets.

Governance & Tribunal Secretariat The Governance & Tribunal Secretariat is a governance and advisory branch of the Ontario Securities Commission that provides legal advice, support, and education to the Commission’s Board Directors and separately to the Capital Markets Tribunal’s Adjudicators. The Secretariat administers the OSC’s governance framework and Capital Markets Tribunal.

The Commission regulates Ontario’s capital markets by making rules that have the force of law and by adopting policies that influence the behaviour of capital markets participants.

The Tribunal is an independent division of the Commission established by the Securities Commission Act, 2021. The Tribunal is the administrative tribunal that is assigned the power to conduct hearings under the Ontario Securities Act and the Commodity Futures Act and to independently determine all questions of fact or law in any proceeding before it under those Acts. The Governance & Tribunal Secretariat is currently seeking an Articling Student. The Student will be responsible for conducting legal research and providing opinions and memoranda of law. The Student will become involved in all aspects of Tribunal proceedings and will work closely with Governance & Tribunal Secretariat counsel and Adjudicators. Responsibilities may include reviewing hearing materials filed by parties, preparing evidence summaries, observing submissions during hearings and assisting with other aspects of the hearing process.

Trading and Markets: The Trading and Markets Division is responsible for regulating market infrastructure entities in Ontario, such as marketplaces, self-regulatory organizations (SROs), protection funds and clearing agencies as well as overseeing derivatives regulation and dealer policy development and implementation. The Division also develops policy relating to market structure, clearing and settlement and fixed income.
