About the Role: This role plays a key part in supporting the organization’s corporate legal and compliance activities, with a focus on maintaining accurate and up-to-date corporate records. This role will be responsible for preparing and filing annual reports, drafting corporate resolutions, and managing entity formations and routine corporate maintenance activities. This role will ensure the integrity of minute books and organizational records while proactively monitoring compliance requirements. It will report to Director, Legal and Business Affairs.

The Company follows a hybrid work model, with employees in the office from Tuesday through Thursday.

Job Requirements: Preparing and filing annual reporting packages, basic resolutions and other documentation for routine corporate maintenance (e.g., change of directors/officers, trade name registrations/cancellations). Drafting corporate resolutions. Entity formation across Canadian and US jurisdictions, including corporations, limited partnerships, and LLCs. Maintenance of the company organization chart. Monitoring pending strike-offs due to non-filing of annual returns and addressing issues proactively. Liaising with internal stakeholders to obtain outstanding documentation, providing information, and forwarding incoming mail in a timely and organized manner. Updating minute books while maintaining data integrity, consistency and detail. Monitoring the department’s general email inbox and directing emails accordingly. Responding to KYC requests from counterparties. Managing registered agent and corporate compliance vendor in the US. Provide administrative support for such other projects or assignments as required

Qualifications: Post-secondary education in a legal assistant or law clerk program is required; a degree or diploma in a related field and ILCO designation (or actively working toward it) are considered an asset. 3-5 years of experience in a law firm or in-house legal environment, with multi-jurisdictional corporate maintenance experience across Canadian provinces and US states preferred. Proficiency in Microsoft applications (Word, Outlook, etc.); experience with corporate entity management software (e.g., Athennian, Diligent Entities, or CT Advantage) is an asset. Strong organization and time management skills; able to prioritize effectively. High attention to detail with a proactive and efficient approach to work. Professional communication skills and a client service mindset. French language proficiency is an asset.
