ABOUT THE ROLE The Paralegal will report to the Associate General Counsel and support Conwest’s in house legal department and be responsible for matters relating to commercial real estate, development, financing, and corporate matters. This is a fixed-term contract until December 15, 2026, with the possibility of extension. This role works closely with internal teams, external counsel, and government registries. The successful candidate will bring 5+ years of experience in corporate records/corporate services and real estate/land title work, exceptional attention to detail, and the ability to manage time-sensitive documentation, filings, registrations, and due diligence requirements independently while contributing to a collaborative team environment.

An early priority for the successful candidate will be leading the transition of Conwest’s corporate records and minute books to a digital records platform.

KEY RESPONSIBILITIES Real Estate Transactions & Documentation Prepare, review, and revise documents required for commercial real estate transactions from start to completion, including contracts and related closing documentation Review commercial contracts of purchase and sale, easements, statutory rights of way (SRWs), Section 219 covenants, subdivisions, strata plan filings, and other land title documents Coordinate transaction documentation, closing requirements, My LTSA registrations, post-registration reporting, and related follow-up items Navigate My LTSA to conduct searches, prepare and submit land title registrations, and monitor registration status for easements, SRWs, covenants, and other instruments

Due Diligence & Registry Searches Conduct due diligence searches, including land title, corporate, Personal Property Registry, tax, and other relevant registry searches, and prepare clear summaries to support decision-making Review title, corporate, land title, and other registry information to identify issues, filing or registration requirements, stakeholder inputs, and next steps Track deadlines, documentation requirements, and outstanding items to support timely transaction execution

Corporate Matters Support incorporations, organizations, and ongoing maintenance of British Columbia companies, including corporate minute book maintenance Prepare and coordinate annual reports, annual filings, extra-provincial registrations, changes of directors/officers/addresses, and related corporate filings Assist with amalgamations, continuances, alterations, windups, dissolutions, reorganizations, share transactions (allotments, transfers, redemptions, dividends), and other corporate maintenance and transaction matters as required Lead the transition of Conwest’s corporate records and minute books for its group of companies to a digital records platform (MinuteBox), including organizing, validating, migrating, and maintaining accurate and compliant corporate records

Communication & Coordination Liaise primarily with internal teams and stakeholders and with government registries, and coordinate with external counsel where required on transactions, real estate and corporate matters Prepare correspondence and communicate clearly on documentation status, requirements, and outstanding items Assist with other legal drafting, real estate, development, financing, corporate records, and corporate services responsibilities as needed

QUALIFICATIONS Minimum 5+ years of paralegal experience with demonstrated strength in both corporate records/corporate services and real estate matters Strong experience preparing, reviewing, and coordinating commercial real estate transaction documentation from start to completion, including contracts, closing agendas, statements of adjustment, closing documents, and general legal drafting Working knowledge of My LTSA, BC Online, land title registrations, BC and federal corporate registries (BC Registry Services), and applicable legislation, and other government registry processes Experience with due diligence searches, title review, easements, statutory rights of way (SRWs), covenants, subdivisions, strata plan filings, and other land title documents Corporate services experience, including minute book maintenance, annual reports/annual filings, incorporations, extra-provincial registrations, continuances, director/officer/address changes, amalgamations, alterations, windups/dissolutions/restorations, share transactions, and related corporate filings; experience with corporate records software required, (proficiency in MinuteBox ALF, Athennian, or similar considered an asset) Excellent organizational skills, high attention to detail, and the ability to manage multiple priorities, deadlines, corporate records, filings, and registrations Strong written and verbal communication skills, with the ability to liaise professionally with internal teams, external counsel, registry staff, consultants, lenders, and other stakeholders Proven ability to work independently, exercise sound judgment, support a corporate records transition to digital, and contribute effectively as part of a team

COMPENSATION Salary range is $80,000 to $110,000 annually, commensurate with experience.
