Our Banking and Finance Group is seeking a Banking Law Clerk to join our dynamic team of professionals. The ideal candidate will be a confident, proactive, highly detailed oriented team player who possesses excellent organizational skills. Working on a team with lawyers and students, it is expected that the candidate will be able to handle a high volume of work with tight turnaround times.

Primary Tasks/Responsibilities

  • Progressively learn and assist in all aspects of banking and financing transactions including:
    • assisting with corporate and lien searches, reviewing results and assisting with addressing any needed estoppels or discharges and drafting schedules with results;
    • utilizing precedents or agreed forms to draft joinder documentation, including guarantees and security documents, officer's certificates, resolutions, and other banking documentation;
    • assisting lawyers and students with banking transaction matters including managing emails and communicating with opposing counsel;
    • identifying and solving various transaction related issues and document findings;
    • draft­ing, reviewing and revising letters, memos and various documents; and
    • ongoing file and closing record maintenance.

Knowledge/Experience Required

  • Diploma from a recognized Ontario Law Clerk program certified with the Institute of Law Clerks of Ontario, and a member in good standing with the Institute of Law Clerks of Ontario
  • At least 2 - 5 years of corporate law clerk experience working on a variety of complex corporate transactional matters
  • Good working and practical knowledge of laws/legislation relevant to banking practice including PPSA and OBCA, CBCA, LPA, BNA and CIA
  • Technical proficiency using the entire MS Office Suite
  • University degree would be an asset
