Our Legal and Regulatory teams advance and help develop Bell’s corporate, legal and regulatory strategies by providing strategic advice and legal counsel, protecting Bell’s interests, and liaising with regulatory and government agencies.

The Corporate Secretary’s Office (CSO) is responsible for the corporate governance of BCE and its subsidiaries, including all matters relating to the BCE and Bell boards of directors and committees, the BCE shareholder meetings, the corporate records, and the organizational structure of the BCE group of companies.

Key Responsibilities

Reporting to the Assistant Corporate Secretary, the successful candidate will:

  • Maintain the corporate records (hard copy and electronic) of BCE’s subsidiaries, including drafting resolutions and other corporate documents, and responding to information requests from various business units
  • Incorporate/form new corporate entities and implement corporate reorganizations (e.g. amalgamations, continuances, dissolutions)
  • Prepare/review and manage corporate filings (e.g. annual filings and declarations, extra-provincial filings, trade name registrations, Autorisation de contracter with Autorité des marchés publics)
  • Support M&A, tax and treasury teams with various corporate actions and transactions, including acquisitions/dispositions, tax loss monetizations, declarations of regular and special dividends, debt simplifications and capital injections
  • Serve as an authorized individual for BCE’s subsidiaries, as required

Minimum Qualifications

  • Licensed paralegal or diploma/certificate in paralegal studies (or equivalent)
  • Minimum of 7 to 10 years of relevant career experience working in a law firm or in-house legal department
  • High level of proficiency with Microsoft Office (Outlook, Word, Excel and PowerPoint), corporate records management systems (EnGlobe), corporate filings systems and corporate search systems

Preferred Qualifications

  • Bilingual (English and French)
  • Commissioner of Oaths or Notary Public (or equivalent)
  • Ability to work independently and also in collaboration with various stakeholders
  • Strong written and verbal communication skills, and organizational and time management abilities
  • Substantive corporate law knowledge would be a definite asset

Bilingualism is an asset (English and French); adequate knowledge of French is required for positions in Quebec.
