In your role, you will:
- Prepare a wide array of legal documentation and other documents usual for a reporting issuer, including in connection with continuous disclosure obligations and other documents required by governmental authorities and agencies;
- Assist internal teams in implementing the legal framework needed by them to achieve their objectives and business plan; - Ensure the maintenance of legal entities part of the organization, including annual filings across multiple jurisdictions; - Review and maintain minute books and make recommendations in the event of irregularities; - Become a resource in respect of the legal structure of the organization; - Provide support in respect of reporting obligations and other periodic or ad hoc requests from regulatory authorities and other stakeholders; - Perform SEDAR, SEDI, TSX and IIROC reporting and filings; - Assist in the preparation and review of presentations for members of management; - Support and coordinate the preparation of legal and regulatory documents requiring the involvement of external legal advisers in various jurisdictions; - Prepare corporate documents required in the ordinary course or in connection with special transactions, including in connection with the monitoring and ongoing compliance/other reporting obligations under financing instruments; - Assist in reorganizations, dividends and other intragroup transactions - Manage and coordinate the delivery of documentation for extra-provincial or multi-jurisdictional projects, including in collaboration with the other members of a multidisciplinary team; - Carry out corporate legal research; - Prepare summary of various documents; - Generally, assist in the preparation of various documents for the legal group; - Assist in the preparation and coordination of deliverables and obligations of various management and governance committees of the company - Perform other duties typical for a corporate and securities paralegal.
As our ideal candidate,
- You have a college diploma in paralegal technology; - You have a minimum of 8 to 15 years of experience as a paralegal in corporate and securities law, including in a national firm; - You are bilingual (French and English) both orally and in writing; - You have a spirit of analysis and initiative; - You have rigor, discipline and thoroughness; - You exercise professional judgment and have the ability to establish a high level of credibility; - You demonstrate autonomy and team spirit; - You are able to multitask and have a good sense of organization; - You have a good knowledge of the tools of the Microsoft Office suite.
